Terms of Service & Operational SLA

PGS Tech Limited (operating globally as "GPfulfillment" or "Gray Poplar", hereinafter referred to as "we", "our", or "us") provides integrated end-to-end supply chain infrastructure for global cross-border e-commerce brands, DTC merchants, and crowdfunding creators.

Our core services encompass:

• Factory-Direct Sourcing & Procurement: Direct quotation and volume procurement from verified manufacturing facilities in China.
• 100% Manual Quality Inspection (QC): Defect checking, measurement verification, and functional testing before kitting.
• Custom Packaging & Private Labeling: Custom branded poly mailers, gift boxes, thank-you cards, custom tape, and embossed hangtags.
• Warehouse Management & Inventory Control: Secure barcode tracking across our Shenzhen and Hong Kong fulfillment facilities.
• Global Air Line-Haul & Direct Injection: Daily direct air flights with local last-mile courier handoff (USPS, Royal Mail, DHL, Australia Post, YunExpress).

By using GPfulfillment services, the merchant client warrants and agrees to the following covenants:

• IP Ownership & Trademarks: The merchant warrants that all logos, trademarks, packaging artwork, and product designs supplied for manufacturing or printing do not infringe on third-party intellectual property or copyright laws.
• Accurate Customer Addresses: The merchant is responsible for ensuring customer destination details synchronized via store APIs are complete, valid, and formatted according to destination country postal standards.
• Regulatory Compliance: Products sourced or fulfilled must comply with the consumer protection and safety regulations of the destination country (e.g. CE, FCC, RoHS, FDA).

• Consolidated Invoices: Itemized daily or weekly invoices detailing product procurement costs, pick-and-pack kitting fees, and line-haul shipping charges will be automatically generated and shared via ERP.
• Accepted Settlement Methods: Bank Wire Transfer (T/T), Wise Business, Payoneer, and major Credit/Debit cards processed via Stripe.
• Currency of Settlement: All official invoices are denominated in United States Dollars (USD) unless explicitly agreed upon in writing.
• Dispatch Hold on Arrears: Outbound package handoff to air carriers will be paused if merchant account balances fall into negative status until payment is confirmed.

To support high-growth DTC brands and optimize inventory turnover, GPfulfillment provides up to 60 days of free warehouse storage for active, fast-moving inventory.

• Active Inventory Definition: Stock with regular outbound order velocity is exempt from monthly storage fees for the initial 60-day window from the date of inbound dock intake.
• Aged & Stagnant Inventory: Products remaining unsold beyond 60 calendar days will incur a standard pallet/bin storage fee ($0.45 per CBM per day) or may be scheduled for return or authorized liquidation upon written merchant approval.

Claim Submission Procedure:

• Eligibility Window: Claims for broken items, defective parts, or missing SKU quantities must be reported within 15 calendar days of the carrier's verified delivery timestamp.
• Required Evidence: The merchant must provide high-resolution photos or video footage showing the parcel shipping label, the outer packaging condition, and the specific item defect.
• Resolution Turnaround: Validated claims are resolved within 24–48 hours via immediate inventory replacement and priority air reshipment.

Our average transit times (e.g. 5–8 business days to the US/Canada, 4–7 business days to the UK/EU, 6–9 business days to Australia) are calculated from sorting hub dispatch to doorstep injection.

• DDP & IOSS Clearance: For our DDP (Delivered Duty Paid) and EU IOSS lines, customs import duties and VAT are pre-cleared electronically with zero surprise fees assessed to your end customer.
• Force Majeure & Transit Exceptions: GPfulfillment is not liable for transit delays resulting from airline cargo cancellations, severe weather anomalies, destination postal strikes, or sovereign customs regulatory audits.

In accordance with IATA aviation safety rules and cross-border customs regulations, GPfulfillment will NOT fulfill or store:

• Counterfeit, replica, or unauthorized trademark goods.
• Flammable liquids, explosives, pressurized aerosol cans, or hazardous chemicals.
• Weapons, firearm parts, ammunition, or restricted military gear.
• Pure standalone power banks / lithium batteries without UN38.3 & MSDS safety certification.

These Terms of Service are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any unresolved disputes arising under this agreement shall be submitted to the exclusive jurisdiction of the competent courts of Hong Kong.
